Position Summary:
Carver Companies is a privately held industrial group headquartered in Albany, New York, with operations in ports and stevedoring, marine towing, quarrying and aggregates, construction, real estate and aviation across New York, South Carolina, Florida and Atlantic Canada. Legal is a small team of three: the Chief Legal Officer, a Corporate Counsel and this role.
We're hiring a Paralegal to be the Legal department's presence at our Albany headquarters. The CLO and Corporate Counsel travel and work across locations; you'll be the person in the building who keeps the department running: managing documents and signatures, maintaining our entities, supporting closings, and handling the county, court and vendor work that has to be done in person. It's a varied role with a lot of ownership for someone who is organized, reliable and likes being the person everyone goes to.
Essential Duties and Responsibilities:
- Prepare, proof and assemble contracts, leases, closing documents and corporate resolutions from templates and attorney instructions
- Run signature logistics: DocuSign envelopes, wet-ink signings with executives, notarizations, and getting documents to banks, counsel and counterparties on time
- Maintain the corporate entity records for a multi-entity group: minute books, annual filings, registered agent (CSC) portal, officer and director lists, and organizational charts
- Support real estate transactions: order title and surveys, pull county records, track closing checklists, and coordinate with title companies and outside counsel
- Manage the Legal shared mailbox and SharePoint matter files so every document is where it should be and nothing is missed
- Track deadlines, renewals and reporting dates across contracts, leases, permits and litigation, and chase the people who owe something
- Process and route outside counsel invoices, insurance applications and vendor paperwork for attorney approval
- Provide litigation and claims support: organize discovery, prepare affidavits and affirmations for attorney review, and coordinate with insurers and outside counsel
- Schedule and prepare for meetings, closings and board sessions, including Teams invites, agendas and materials
Required Qualifications:
- 3+ years of paralegal or legal assistant experience in corporate, real estate or commercial practice, at a firm or in-house; a paralegal certificate or associate's degree is a plus but not required if the experience is there
- New York notary public commission, or willingness to obtain one within 90 days of start
- Exceptionally organized and detail-minded; you catch the typo and the missing exhibit before anyone else does
- Comfortable working with limited daily supervision and asking the right questions early rather than guessing
- Confident with Microsoft 365 (Outlook, Word, Excel, Teams, SharePoint) and DocuSign; experience with CSC or another entity-management platform a plus
- Discreet and professional; you'll handle confidential and privileged material every day
- Valid driver's license; occasional local travel to county offices, courts, banks and our Port of Coeymans site
- Must be authorized to work in the United States without sponsorship, now and in the future
Location and Work Arrangement:
- Reports to the Chief Legal Officer and works day to day with the Corporate Counsel. This is an on-site role at our headquarters at 26 Corporate Circle, Albany, NY, Monday to Friday.
Compensation and benefits
- Base salary range: $58,000 to $72,000, depending on experience
- Eligible for the Company's annual discretionary bonus
- Medical, dental and vision coverage; 401(k) with company match; paid vacation, personal days and holidays; notary commission and continuing education covered
