Transactional Paralegal

MG+M The Law Firm (MG+M) is seeking to add a Paralegal to our Transactional Practice Group in the Boston, MA office.

Essential Duties and Responsibilities:

• Assist attorneys with all aspects of mergers and acquisitions, including due diligence, document organization, and closing preparation
• Conduct and manage due diligence reviews, including tracking and summarizing key findings
• Prepare and organize closing checklists, signature pages, and transaction binders
• Draft and revise corporate documents, including resolutions, formation documents, and governance materials
• Maintain and update corporate records, minute books, and entity management databases
• Coordinate filings with state agencies related to entity formation, registration, and compliance
• Manage large volumes of transactional documents and maintain organized deal files
• Communicate with clients, attorneys, and third parties to facilitate transaction execution
• Support attorneys with legal research and other transactional matters as needed
• Track timelines and key deliverables to ensure timely completion of transactions

Candidate Requirements:

• Minimum of five (5) years of paralegal experience, with a focus on corporate or transactional work
• Bachelor’s degree and/or Paralegal Certificate required
• Experience supporting M&A transactions and corporate governance activities strongly preferred
• Strong understanding of corporate structures, filings, and documentation
• Excellent organizational skills and ability to manage multiple transactions simultaneously
• Strong attention to detail and ability to work in a fast-paced environment
• Effective communication skills with attorneys, clients, and internal teams
• Proficiency in Microsoft Office, legal research tools and document management systems
